Terms of Service

These Terms of Service ("Terms") govern your use of the website https://1d.works ("Website") and any consulting, development, or advisory services ("Services") provided by MB Kryptingi Projektai, a small partnership registered in the Republic of Lithuania, operating under the brand 1D.works.

2. Services

1D.works provides AI consulting, software development, system integration, fractional leadership, and related professional services. The scope, deliverables, and timeline for an engagement may be defined in a Statement of Work ("SOW") or proposal, but a formal SOW is not required to begin work.

3. Engagement & Acceptance

A binding engagement arises when the Client requests work and 1D.works begins performing it, or when the Client makes a payment. A signed SOW, if used, may override or supplement these Terms.

4. Fees & Payment

The applicable proposal, Statement of Work, order, or invoice sets the fee structure and payment schedule for each engagement. Depending on the engagement, fees may be time-based, fixed, milestone-based, a one-time setup fee, or a recurring service or retainer fee.
Unless otherwise agreed in writing, all fees are denominated in USD.
If no payment schedule is stated in the applicable engagement documents, 1D.works invoices weekly for work performed.
Invoices are due within 14 days of issue unless otherwise agreed. Payment instructions will be provided on the invoice.
Payments may be made via bank transfer or credit/debit card through our payment processor.
Late payments accrue interest at the rate permitted under the Lithuanian Law on Prevention of Late Payment in Commercial Transactions.

5. Intellectual Property

Pre-existing IP remains the property of the originating party.
Work product created during an engagement is and remains the intellectual property of 1D.works (MB Kryptingi Projektai).
Upon payment, the Client receives an exclusive, worldwide, irrevocable, perpetual, royalty-free licence to use, modify, sublicense, and distribute the work product for any purpose.
1D.works retains the right to use general knowledge, skills, techniques, and non-confidential ideas gained during an engagement.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and to use it only for the purposes of the engagement. This obligation survives termination for 2 years.

7. Limitation of Liability

To the maximum extent permitted by law:

1D.works' total liability for any engagement shall not exceed the fees paid by the Client for that engagement in the preceding 12 months.
Neither party is liable for indirect, incidental, special, or consequential damages.

8. Termination

Either party may terminate an engagement with 14 days written notice unless the applicable engagement documents state otherwise. Upon termination, the Client remains responsible for fees due for work performed, deliverables or milestones provided, and expenses incurred up to the effective termination date.

9. Refunds

Fees paid for completed work, accepted deliverables, and incurred expenses are non-refundable except where required by law. Any refund or credit for other amounts is determined under the applicable engagement documents and our Refund & Cancellation Policy.

10. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall first be attempted to be resolved amicably. If unsuccessful, disputes are subject to the jurisdiction of the courts of Vilnius, Lithuania.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our Services after changes constitutes acceptance.
